Official documents of IFG
These documents are provided to each General Manager when a company enters IFG.
The documents bear the date of the latest revision and you will always be able to access the "most recent" documents.
Revisions of these documents happen only with agreement (through voting) of the General Assembly when necessary.
Articles of Association ( AA or By-Laws )
International Factors Group SCRL is incorporated in Belgium under Belgian law, as a co-operative company with limited liability. In accordance with such law, the Articles of Association set out the objectives of the company, its capital and shares, matters to be dealt with at a General Assembly of Shareholders and the functions of the Board of Directors, as well as the procedures for becoming a shareholder member in IFG and the consequent obligations. Generally only members who are shareholders can conduct two-factor business using the IF exchange . Article 18.2 of the by-laws enables a General Assembly of Shareholders to establish internal rules and regulations to which shareholders shall be bound by the sole fact of membership of IFG.
Rules Between Members
These are part of the internal rules referred to above. They also apply to all other categories of membership by virtue of their application for membership or payment of membership fees. In the case of members doing two-factor business they also agree to be bound by GRIF, DEX and the IFexchange Manual.
The Rules between Members are complementary to the Articles of Association and provide also for other categories of members who are not shareholders. For more details, please refer to the Rules Explanations
